Design Services Agreement
Governing design work performed by Cascade Forge. A separate design quote is provided and must be approved before any design work begins.
1. Scope
This Design Services Agreement ("Agreement") applies to all design services performed by Cascade Forge, including but not limited to: 3D modeling from reference materials, mechanical design, organic sculpting, STL repair and optimization, and any other design deliverable produced for a client. Accepting a design quote constitutes agreement to these terms.
2. Project Scope and Quote
All design work is scoped and quoted individually before work begins. The design quote specifies the project description, deliverables, number of included revision rounds, and estimated completion timeframe. No design work begins until the client approves the design quote in writing. Changes to scope after approval constitute a change order and may be priced separately.
Cascade Forge does not guarantee specific aesthetic outcomes. Design results reflect the designer's professional interpretation of client-supplied references and descriptions.
3. Payment Terms
- A 50% non-refundable deposit is required before design work begins.
- The remaining balance is due upon delivery of final design files.
- Design fees are invoiced separately from any associated print services.
- Net-30 invoicing available for approved B2B and contract accounts.
If a design project is cancelled by the client after work has begun, the deposit is forfeited. If cancelled before work begins, the deposit may be applied as credit toward a future order at Cascade Forge's discretion.
4. Revisions
The number of included revision rounds is specified in the approved design quote. A revision is defined as modifications within the original scope description. Requests that expand the scope, change the core concept, or require substantially new design work are change orders and will be quoted separately. Additional revision rounds beyond those included are available at an hourly rate to be quoted at the time of request.
5. Delivery and Acceptance
Design files are delivered digitally upon completion. The client has 5 business days from delivery to review files and request revisions within the included rounds. After 5 business days without written feedback, files are deemed accepted. Accepted files are considered final and further changes constitute a new or change-order engagement.
6. Intellectual Property
Upon receipt of payment in full, the client receives full ownership of the design files produced for their project, including the right to reproduce, manufacture, and modify the design. Until payment is received in full, Cascade Forge retains all rights to design files and work product. Cascade Forge retains the right to use completed designs in portfolio, marketing, and promotional materials unless the client specifically requests confidentiality in writing at the time of project initiation.
The client warrants that references, source materials, or descriptions they supply do not infringe any third-party intellectual property rights, and agrees to indemnify Cascade Forge against claims arising from client-supplied content.
7. Client Responsibilities
The client is responsible for providing clear, complete reference materials and feedback in a timely manner. Delays caused by client non-responsiveness may extend the project timeline. Cascade Forge is not responsible for design outcomes resulting from incomplete or unclear client direction.
8. Confidentiality
Cascade Forge treats client project information as confidential and does not share project details with third parties without client consent. Clients who require a formal non-disclosure agreement must request one prior to sharing project information.
9. No Fitness Warranty
Cascade Forge designs files to the best of its professional ability based on client-supplied specifications. Cascade Forge does not warrant that designs are suitable for any particular use, meet engineering standards, or will perform as expected when printed. The client is responsible for verifying design suitability before production.
10. Limitation of Liability
CASCADE FORGE'S MAXIMUM LIABILITY FOR ANY DESIGN PROJECT SHALL NOT EXCEED THE DESIGN FEES PAID FOR THAT PROJECT. CASCADE FORGE IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING FROM DESIGN SERVICES, INCLUDING BUT NOT LIMITED TO PRODUCTION COSTS, LOST PROFITS, OR DOWNSTREAM PROJECT FAILURES.
11. Governing Law
This Agreement is governed by the laws of the State of Washington. Disputes shall be resolved as specified in the Cascade Forge Terms of Service.
